Terms of Service

Welcome to Parlez. These Terms of Service ("Terms") govern your use of the Parlez mobile app, website, and related services (collectively, the "Service"), which are operated by Toggle Media, LLC, a Florida limited liability company ("Toggle Media", "we", "us").

By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you don't agree, please don't use Parlez.

Who can use Parlez

You must be at least 13 years old to use the Service (or older if required in your country — e.g., 16 in parts of the EU). If you are under the age of majority where you live, you confirm that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.

Your account

You are responsible for keeping your account credentials secure and for activity that happens under your account. Please notify us if you suspect unauthorized use.

Subscriptions, billing, and refunds

Parlez offers subscription plans that are purchased and billed through the Apple App Store. Pricing is shown in the app before purchase. Your subscription will automatically renew at the then-current price unless you cancel at least 24 hours before the end of the current period.

You can manage or cancel your subscription at any time in your Apple ID account settings. Refunds are handled by Apple in accordance with the App Store refund policy; we generally cannot issue refunds directly.

We may change subscription pricing from time to time. If we do, we will give you notice before the change takes effect, and the change will not apply to your current billing period.

License to use the Service

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download and use the Parlez app for your personal, non-commercial use. We (and our licensors) retain all other rights.

Acceptable use

You agree not to:

• Use the Service in any way that violates the law, infringes someone else's rights, or circumvents its security.
• Reverse-engineer, decompile, or attempt to extract the source code or model weights of the Service, except to the extent this restriction is prohibited by law.
• Scrape, harvest, or bulk-download content from the Service.
• Upload audio that contains material you don't have the right to submit, or that includes someone else's voice without their permission.
• Use the Service to build a competing product or train a competing machine-learning model.
• Interfere with or disrupt the Service's operation.

Your content and the training license

When you record audio in the Parlez app, that audio is your content. You retain ownership of your recordings.

By submitting recordings to the Service, you grant Toggle Media a worldwide, royalty-free, non-exclusive, sublicensable license to host, store, reproduce, and analyze those recordings for the purpose of operating the Service, and — in anonymized form (stripped of account identifiers) — to use them to train, evaluate, and improve our accent-scoring models and related machine-learning systems. This license survives termination of your account with respect to recordings that have already been incorporated into anonymized training datasets, because removing them from trained model weights is not technically possible.

You can opt out of training-data use at any time in the app or by contacting us. See our Privacy Policy for details.

You represent and warrant that you have the right to submit any audio you record, and that doing so does not violate anyone else's rights.

Our intellectual property

The Parlez app, website, name, logo, underlying models, content, and design are owned by Toggle Media and are protected by intellectual property laws. Nothing in these Terms transfers ownership of any of that to you.

Third-party services

The Service relies on third-party providers, including Apple (App Store, Sign in with Apple), Google Cloud (hosting), and RevenueCat (subscription management). Your use of those providers' services is subject to their respective terms.

Disclaimers

The Service is provided "as is" and "as available." Parlez's accent scores are an aid to learning, not a substitute for a human teacher, and we make no guarantees about the accuracy of any particular score or the results you'll achieve. We disclaim all warranties to the maximum extent permitted by law, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability

To the maximum extent permitted by law, Toggle Media will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service is limited to the greater of (a) the amount you paid us for the Service in the 12 months before the event giving rise to the claim, or (b) one hundred U.S. dollars ($100).

Some jurisdictions don't allow these limitations, so parts of this section may not apply to you.

Indemnification

You agree to defend and indemnify Toggle Media from any claims, damages, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Service, your violation of these Terms, or your violation of someone else's rights.

Termination

You can stop using Parlez and delete your account at any time. We can suspend or terminate your access to the Service if you violate these Terms or if we reasonably believe your use creates risk for us or other users. Sections that by their nature should survive termination (ownership, licenses you've granted, disclaimers, limitations, dispute resolution) will survive.

Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to its conflict-of-laws rules. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Miami-Dade County, Florida, and you consent to the personal jurisdiction of those courts. Nothing in this section limits rights you have under mandatory consumer-protection law in your country of residence.

Changes

We may update these Terms from time to time. If we make material changes, we will give you notice through the app or by email before the changes take effect. If you keep using the Service after changes take effect, you accept the updated Terms.

Appendix A — Apple App Store Additional Terms

The following additional terms apply to your use of the Parlez app obtained through the Apple App Store (the "Licensed Application") and supplement the Terms above. In the event of any conflict between the Terms above and this Appendix A, this Appendix A controls with respect to your use of the Licensed Application on Apple devices.

1. Acknowledgement

You and Toggle Media acknowledge that these Terms are concluded between you and Toggle Media only, and not with Apple Inc. ("Apple"). Toggle Media, not Apple, is solely responsible for the Licensed Application and the content thereof.

2. Scope of License

The license granted to you for the Licensed Application is limited to a non-transferable license to use the Licensed Application on any Apple-branded products that you own or control, and as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions, except that the Licensed Application may also be accessed and used by other accounts associated with the purchaser via Family Sharing or volume purchasing.

3. Maintenance and Support

Toggle Media is solely responsible for providing any maintenance and support services with respect to the Licensed Application, as specified in these Terms, or as required under applicable law. You and Toggle Media acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the Licensed Application.

4. Warranty

Toggle Media is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the Licensed Application to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the Licensed Application (if any) to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the Licensed Application, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Toggle Media's sole responsibility.

5. Product Claims

You and Toggle Media acknowledge that Toggle Media, not Apple, is responsible for addressing any claims of yours or any third party relating to the Licensed Application or your possession and/or use of that Licensed Application, including, but not limited to: (i) product liability claims; (ii) any claim that the Licensed Application fails to conform to any applicable legal or regulatory requirement; and (iii) claims arising under consumer protection, privacy, or similar legislation.

6. Intellectual Property Rights

You and Toggle Media acknowledge that, in the event of any third-party claim that the Licensed Application or your possession and use of that Licensed Application infringes that third party's intellectual property rights, Toggle Media, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

7. Legal Compliance

You represent and warrant that (i) you are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.

9. Third Party Terms of Agreement

You must comply with applicable third party terms of agreement when using the Licensed Application.

10. Third Party Beneficiary

You and Toggle Media acknowledge and agree that Apple, and Apple's subsidiaries, are third party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third party beneficiary thereof.
